1. Terms of Use
These Terms of Use (“Terms”) govern access to and use of the KAPPY DEMO mobile application, progressive web app, website, merchant dashboard, beta interfaces, onboarding flows, and related services (collectively, the “Services”). KAPPY DEMO is currently operating as a limited, invitation-only beta. The Services are not yet publicly available and may only be accessed by users and shop partners who have been selected or invited by the KAPPY founding team.
1.1 Who We Are
- For the purposes of these Terms, “KAPPY DEMO,” “KAPPY,” “we,” “us,” and “our” refer to the KAPPY DEMO project and founding team currently operating the invitation-only beta.

- Because the project is still in its early demo and beta stage, no registered company entity is referenced in this version of the Terms. These Terms apply to the Services as operated by the KAPPY founding team until a formal company structure is established.
1.2 Acceptance of These Terms
- By creating an account, accessing an invitation link, onboarding a venue, using a merchant dashboard, redeeming an offer, or otherwise using the Services, you agree to be bound by these Terms.
- If you do not agree to these Terms, you must not access or use the Services.
1.3 Eligibility
- The Services are intended only for invited individuals and invited shop partners who are legally capable of entering into binding terms under applicable law.
- If you create or use a merchant account on behalf of a restaurant, café, bar, venue, or other business, you confirm that you are authorized to act on behalf of that business.
1.4 Invitation-Only Beta Access
- KAPPY DEMO is a private beta and is not open to the general public.
- Access may be limited by invitation links, approval by the KAPPY admin team, account review, or manual activation.
- We may accept, refuse, suspend, remove, or revoke access to any account or venue at our discretion, particularly where needed for security, quality control, operational reasons, or protection of the beta environment.
- Access to the beta does not create any right to continued access, future access, or participation in any later public launch.
1.5 Account Registration and Security
- To use certain features, you may be required to create an account with information such as your email address, password, venue name, or other onboarding information.
- You must provide accurate, complete, and current information and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, except to the extent caused by our own failure to implement reasonable security measures.
- You must notify us promptly at support@kappy-app.com if you believe your account has been compromised or used without authorization.
1.6 Nature of the Services
- KAPPY DEMO is a food, dining, and lifestyle beta platform designed to help invited users discover participating venues and access selected offers, while helping invited merchants onboard their venue pages, create deals, and use merchant tools such as dashboards and QR scanning features.
- Features shown inside the beta may be incomplete, experimental, under development, or subject to change at any time without notice.
1.7 Beta Features and Simulation of Plans
- During the beta, certain merchant plans, tiers, options, or commercial features may be displayed for demonstration or simulation purposes only.
- Unless expressly stated otherwise in writing, selecting a plan or tier during the beta does not create a paid subscription obligation.
- KAPPY may allow invited merchants to explore, switch, or test different plans during the beta free of charge for learning and feedback purposes.
- Any future commercial launch, subscription structure, or pricing model may be governed by separate terms.
1.8 Merchant Responsibilities
- Merchants are responsible for ensuring that their venue information, menus, descriptions, hours, social links, photos, and offer details are accurate and not misleading.
- Any offer published through the Services must be lawful, clear, capable of being honored, and understood by the merchant’s staff.
- Merchants remain fully responsible for the operation of their own business, their staff, their venue, their permits, their taxes, and their compliance with applicable law.
- Merchants must not use KAPPY DEMO to publish false offers, inaccurate descriptions, misleading discounts, or promotions that their staff are unable or unwilling to honor.
1.9 User Responsibilities
- Users must use the Services honestly and in good faith.
- Users must not misuse invitation links, create false accounts, exploit beta offers abusively, attempt unauthorized redemptions, or interfere with merchant operations.
- Users must not reproduce, scrape, copy, harvest, or commercially exploit data or content from the Services without prior written permission.
1.10 Acceptable Use
- You agree not to use the Services for any unlawful, fraudulent, abusive, harmful, or deceptive purpose.
- You must not impersonate another person or business, upload malicious code, attempt to bypass account restrictions, or interfere with the proper functioning of the Services.
- You must not attempt to gain unauthorized access to accounts, dashboards, systems, or data.
1.11 Offers, Redemptions, and QR Features
- Offers shown in KAPPY DEMO may be subject to dates, hours, limits, stock, venue-specific conditions, and beta testing restrictions.
- QR features, redemption flows, and scan-based validation tools are experimental beta features and may occasionally fail, change, or require manual support.
- KAPPY DEMO does not guarantee that every offer will always be available, error-free, or redeemable at every moment of the beta.
- Where operational issues arise, KAPPY may work in good faith with the merchant and user to clarify the intended offer flow, but KAPPY is not the direct seller or operator of the merchant’s products or services.
1.12 Content, Materials, and Feedback
- Users and merchants may submit or upload content including venue information, deal information, menus, images, descriptions, profile details, and feedback.
- You confirm that you have the rights or authority needed to submit such content and that it does not infringe the rights of third parties.
- You retain ownership of your content, but you grant KAPPY DEMO a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, display, and use that content to operate, improve, test, and present the Services.
- Any comments, suggestions, or feedback shared during the beta may be used by KAPPY to improve the product without compensation, unless agreed otherwise in writing.
1.13 Confidentiality and Limited Data Sharing
- KAPPY DEMO treats personal data, account information, and commercially sensitive information with care and confidentiality.
- KAPPY DEMO will not knowingly provide raw personally identifiable user data to merchant partners except where operationally necessary for a product feature, clearly disclosed in the Privacy Policy, consented to where required, or required by law.
- Merchant-facing analytics, if provided, are intended to be aggregated, anonymized, or de-identified wherever reasonably possible.
1.14 Intellectual Property
- The KAPPY name, brand, logos, design elements, interfaces, content structure, software, and related materials are owned by or licensed to KAPPY DEMO and may not be copied, reproduced, modified, distributed, reverse engineered, or exploited without permission, except as allowed by law.
1.15 Third-Party Services
- The Services may integrate third-party tools or links, including map services, login providers, messaging services, or social media links.
- KAPPY DEMO does not control third-party services and is not responsible for their availability, content, security, or privacy practices. Your use of such third-party services may be subject to their own terms and policies.
1.16 Suspension, Removal, and Termination
- We may suspend, restrict, deactivate, or terminate access to all or part of the Services at any time if we believe that these Terms have been violated, if the beta needs to be protected, if fraud or abuse is suspected, if the account is no longer suitable for the invitation-only phase, or if we decide to pause or end the beta.
- You may stop using the Services at any time. You may also contact support@kappy-app.com to request account deletion, subject to applicable legal, security, and operational retention requirements.
1.17 Disclaimers
- The Services are provided on an “as is” and “as available” basis during a live beta and pilot stage.
- We do not guarantee uninterrupted availability, complete accuracy, bug-free operation, or that the Services will meet every expectation of users or merchants.
- Because KAPPY DEMO is still in testing, users and merchants accept that features, tiers, visual elements, processes, dashboards, and offer flows may evolve quickly.
1.18 Limitation of Liability
- To the maximum extent permitted by applicable law, KAPPY DEMO and the KAPPY founding team shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services.
- To the maximum extent permitted by law, KAPPY DEMO’s total liability in connection with the Services shall not exceed USD 100, or, if greater, the amount actually paid by you to KAPPY DEMO in the 12 months preceding the claim. During the free beta phase, many users and merchants may have paid nothing, in which case the liability cap remains USD 100 where legally enforceable.
1.19 Changes to the Services and These Terms
- We may update these Terms, modify the Services, or adjust beta rules from time to time.
- The latest version will be made available through appropriate channels, and continued use of the Services after an update takes effect means you accept the revised version.
1.20 Governing Law and Contact
- These Terms are intended as a professional operating framework for the KAPPY DEMO beta. Until a formal company entity and jurisdictional structure are finalized, questions or concerns should be directed to support@kappy-app.com.
- Any future public launch may require updated jurisdiction, dispute resolution, and corporate details.
